Description
Our client, a global IT consulting business leader, is seeking a Corporate Paralegal to add to their team.
• Equity Plan Administration – roll out equity and/or stock options for the employees at EXL. Research on the different plans
o Support corporate legal efforts on the administration of EXL’s equity programs with Fidelity.
o Provide day-to-day project support by tracking status and work streams across all equity administration matters deals; support on international equity plans;
o Approve settlements/distributions of director awards;
o Ensure compliance and timely preparation of Forms 3, 4 and 5;
o Support insider trading policy administration.
• Corporate Insurance Administration –
o Primary liaison between insurance broker and company.
o Ensure smooth renewal process with all internal/external stakeholders.
o Provide Certificate of Insurance for EXL clients (600 COIs per year) as may be required by contract
• Miscellaneous
o Assist in the management of corporate governance matters for legal entities, including, charter and by-law changes, maintenance of minute books, stock registers and current officer and director listings;
Requirements
• Must have a minimum of 3 years of experience as a Corporate Paralegal
• Must possess strong skills in Section 16 filings
• Proficiency in Equity Options and Equity Trading is required
• Knowledge of regulations and guidelines set by the Securities and Exchange Commission is essential
• Must have excellent written and verbal communication skills
• Should be able to maintain confidentiality and handle sensitive information appropriately
• Must have a strong attention to detail and organizational skills
• Should have the ability to work independently and as part of a team
• Must possess strong problem-solving skills and the ability to handle multiple tasks simultaneously
• Previous experience in a law firm or corporate legal department is advantageous.
